BonaFide Affiliate Terms & Conditions

These terms cover BonaFide Omnibus's Standard Affiliate Program through Shoffi and the Founding Partner Program under individually accepted agreements. By participating in the Standard Affiliate Program, an affiliate agrees to the standard terms below. The two programs have different commission periods. A Founding Partner Agreement applies only when BonaFide and the partner have individually accepted an approved agreement.

1. Standard Affiliate Program

Affiliates accepted outside the Founding Partner Program are subject to the standard affiliate program applicable when they join. Under the current Standard Affiliate Program, affiliates earn 50% of net recurring app revenue for 12 months for each qualified referral.

Net revenue means eligible app revenue after applicable Shopify fees, refunds, credits, chargebacks, and similar adjustments. One-time charges are excluded unless otherwise agreed in writing.

Standard referrals must be tracked and accepted through Shoffi. Referral attribution follows the referral-link attribution rules configured for BonaFide's Shoffi program. Manual referrals may be considered when normal tracking was not used or failed, but each manual referral is subject to BonaFide verification and approval. Submission does not guarantee acceptance.

2. Founding Partner Program

Admission and individual acceptance

Founding Partner admission is limited. Applications are due by November 30, 2026 at 23:59 UTC, unless BonaFide closes applications earlier. Applying, receiving an invitation, or enrolling does not itself create a Founding Partner Agreement or qualify a referral. The Founding offer applies exclusively to qualifying referrals accepted under an approved Founding Partner Agreement individually accepted by BonaFide and the partner.

Commission and vested referral rights

Under an accepted Founding Partner Agreement, the partner earns a 50% lifetime recurring commission for each qualifying referral accepted under that agreement. There is no fixed monthly commission cap and no annual referral quota. The individual agreement specifies referral qualification, attribution, eligible recurring subscription revenue, adjustments, and payout procedures. A request to attribute a referral does not guarantee acceptance.

“Lifetime” describes the commission period for an accepted qualifying referral while BonaFide collects eligible recurring subscription revenue attributable to that referral. It does not promise that a merchant subscription or the Shopify application will continue indefinitely. A referral-specific lifetime commission right vests when the referral qualifies and is accepted under the individual Founding Partner Agreement.

Admission changes and new referrals

BonaFide may change or discontinue admission to the Founding Partner Program and revise offers to future applicants. Closing admission to new applicants does not automatically terminate existing Founding Partner Agreements, cancel valid accrued commissions, or reduce previously vested referral-specific lifetime commission rights. Under an existing agreement, BonaFide may prospectively end eligibility for new referrals upon the contractual notice required by that agreement, without reducing vested rights for previously accepted qualifying referrals.

Permanent Shopify application discontinuation

If BonaFide is permanently removed from Shopify or permanently ceases operating as a Shopify application, BonaFide may terminate an individual Founding Partner Agreement upon written notice to the partner. A temporary outage or other temporary interruption is not permanent discontinuation. Future commission accrual ceases when eligible recurring subscription revenue is no longer collected. Valid accrued but unpaid commissions remain payable under the agreement's payment terms.

3. Payouts and tax information

The Standard Affiliate Program has a minimum payout threshold of USD 50. Valid accrued standard commissions below the threshold remain pending until the threshold is reached, subject to these terms. A Founding Partner Agreement specifies any applicable payout threshold and procedures for that partner.

Standard program payments are made directly by BonaFide/Goalaxa using Payoneer, international bank transfer, Wise, PayPal where available, or another mutually agreed and supported method. Founding Partner payment procedures are set out in the individually accepted agreement. Affiliates are responsible for supplying accurate payment information and for their own applicable tax and reporting obligations. Shoffi does not process or hold standard program payout funds.

4. Fair promotion

All affiliates must:

• Describe BonaFide accurately and avoid misleading or unsubstantiated claims
• Disclose the affiliate relationship where required by law or platform rules
• Avoid spam, fraudulent referrals, impersonation, and deceptive marketing
• Respect applicable laws, platform policies, and intellectual property rights

No incentives may be offered in exchange for Shopify App Store reviews or ratings.

5. Program changes and termination

For the Standard Affiliate Program, BonaFide may change commission rates, commission periods, payout rules, or other terms for future referrals. Changes will not retroactively reduce the commission rate, commission period, or other applicable terms for referrals already qualified before the change.

Either a standard affiliate or BonaFide may end the standard affiliate relationship. Valid accrued commission and existing referral terms remain subject to their applicable terms unless fraud, abuse, invalid attribution, a chargeback or refund adjustment, or a violation of these terms applies. Founding Partner Agreements are governed by their individually accepted terms and the Founding provisions above; program closure alone does not end an existing agreement or cancel vested referral-specific rights.
